第二部分14.FOB/FAS条件14.1.本合同项下货物的装运舱位由买方或买方的运输代理人___________租订。14.2.在FOB条件下，卖方应负责将所订货物在本合同第8条所规定的装船期内按买方所通知的任何日期装上买方所指定的船只。

14.3.在FAS条件下，卖方应负责将所订货物在本合同第8条所规定的装船期内按买方所通知的任何日期交到买方所指定船只的吊杆下。14.4.货物装运日前10-15天，买方应以电报或电传通知卖方合同号、船只预计到港日期、装运数量及船运代理人的名称。

以便卖方经与该船运代理人联系及安排货物的装运。卖方应将联系结果通过电报或电传及时报告买方。

如买方因故需要变更船只或者船只比预先通知卖方的日期提前或推迟到达装运港口，买方或其船运代理人应及时通知卖方。卖方亦应与买方的运输代理或买方保持密切联系。

14.5.如买方所订船只到达装运港后，卖方不能在买方所通知的装船时间内将货物装上船只或将货物交到吊杆之下，卖方应负担买方的一切费用和损失，如空舱费、滞期费及由此而引起的及/或遭受的买方的一切损失。14.6.如船只撤换或延期或退关等而未及时通知卖方停止交货，在装港发生的栈租及保险费损失的计算，应以代理通知之装船日期（如货物晚于代理通知之装船日期抵达装港，应以货物抵港日期）为准，在港口免费堆存期满后第十六天起由买方负担，人力不可抗拒的情况除外。

上述费用均凭原始单据经买方核实后支付。但卖方仍应在装载货船到达装港后立即将货物装船，交负担费用及风险。

15.C&F条件15.1.卖方在本合同第8条规定的时间之内应将货物装上由装运港到中国口岸的直达船。未经买方事先许可，不得转船。

货物不得由悬挂中国港口当局所不能接受的国家旗帜的船装载。15.2.卖方所租船只应适航和适货。

卖方租船时应慎重和认真地选择承运人及船只。买方不接受非保赔协会成员的船只。

15.3.卖方所租载货船只应在正常合理时间内驶达目的港。不得无故绕行或迟延。

15.4.卖方所租载货船只船龄不得超过15年。对超过15年船龄的船只其超船龄额外保险费应由卖方负担。

买方不接受船龄超过二十年的船只。15.5.一次装运数量超过一千吨的货载或其它少于一千吨但买方指明的货载，卖方应在装船日前至少10天用电传或电报通知买方合同号、商品名称、数量、船名、船龄、船籍、船只主要规范、预计装货日、预计到达目的港时间、船公司名称、电传和电报挂号。

15.6.一次装运一千吨以上货载或其它少于一千吨但买方指明的货载，其船长应在该船抵达目的港前7天和24小时分别用电传或电报通知买方预计抵港时间、合同号、商品名称及数量。15.7.如果货物由班轮装运，载货船只必须是______船级社最高船级或船级协会条款规定的相同级别的船级，船只状况应保持至提单有效期终了时止，以装船日为准船龄不得超过20年。

超过20年船龄的船只，卖方应负担超船龄外保险费。买方绝不接受超过25年船龄的船只。

15.8.对于散件货，如果卖方未经买方事前同意而装入集装箱，卖方应负责向买方支付赔偿金，由双方在适当时间商定具体金额。15.9.卖方应和载运货物的船只保持密切联系，并以最快的手段通知买方船只在途中发生的一切事故，如因卖方未及时通知买方而造成买方的一切损失卖方应负责赔偿。

16.CIF条件 在CIF条件下，除本合同第15条C&F条件适用之外卖方负责货物的保险，但不允许有免赔率。17.装船通知 货物装船完毕后48小时内，卖方应即以电报或电传通知买方合同号、商品名称、所装重量（毛/净）或数量、发票价值、船名、装运口岸、开船日期及预计到达目的港时间。

如因卖方未及时用电报或电传给买方以上述装船通知而使买方不能及时保险，卖方负责赔偿买方由此而。

9.求：出口代理协议

独 家 代 理 协 议Exclusive Agency Agreement 本协议于______年____月____日在______（地点）由有关双方在平等互利基础上达成，按双方同意的下列条件发展业务关系： This agreement is made and entered into by and between the parties concerned on ___________(Date) in ________(Place) on the basis of equality and mutual benefit to develop business on terms and conditions mutually agreed upon as follows: 1. 协议双方 The Parties Concerned 甲方：_______ 乙方：__________ Party A:________ Party B：________ 地址：__________ 地址：___________ Add:____________ Add：______________ 电话：__________ 电话：____________ Tel: ___________ Tel： _____________ 传真：_________ 传真：____________ Fax:___________ Fax:______________ 2. 委任 Appointment 甲方指定乙方为其独家代理，为第三条所列商品从第四条所列区域的顾客中招揽订单，乙方接受上述委任。

Party A hereby appoints Party B as its Exclusive Agent to solicit orders for the commodity stipulate in Article 3 from customers in the territory stipulated in Article 4,and Party B accepts and assumes such appointment. 3. 代理商品 Commodity 比如：洗衣机。 For example: Washing Machine. 4. 代理区域 Territory 仅限于_______（比如：中国） In __________(for example: China)only. 5. 最低业务量 Minimum turnover 乙方同意，在本协议有效期内从上述代理区域内的顾客处招揽的上述商品的订单价值不低于_______美元。

Party B shall undertake to solicit orders for the above commodity from customers in the above territory during the effective period of this agreement for not less than USD _________. 6. 价格与支付 Price and Payment 每一笔交易的货物价格应由乙方与买主通过谈判确定，并须经甲方最后确认。 付款使用保兑的、不可撤销的信用证，由买方开出，以甲方为受益人。

信用证须在装运日期前______天到达甲方。 The price for each individual transaction shall be fixed through negotiations between Party B and the buyer, and subject to Party A's final /confirm/iation. Payment shall be made by /confirm/ied, irrevocable L/C opened by the buyer in favor of Party A, which shall reach Parth A ____ days before the date of shipment. 7. 独家代理权 Exclusive Right 基于本协议授予的独家代理权，甲方不得直接或间接地通过乙方以外的渠道向中国顾客销售或出口第三条所列商品，乙方不得在中国经销、分销或促销与上述商品相竞争或类似的产品，也不得招揽或接受以到中国以外地区销售为目的的订单，在本协议有效期内，甲方应将其收到的来自中国其他商家的有关代理产品的询价或订单转交给乙方。

In consideration of the exclusive rights granted herein, Party A shall not, directly or indirectly, sell or export the commodity stipulated in Article 4 to customers in China through channels other than Party B; Party B shall not sell, distribute or promote the sales of any products competitive with or similar to the above commodity in China and shall not solicit or accept orders for the purpose of selling them outside China. Party A shall refer to Party B any enquiries or orders for the commodity in question received by Party A from other firms in China during the validity of this agreement. 8. 商情报告 Market Report 为使甲方充分了解现行市场情况，乙方承担至少每季度一次或在必要时随时向甲方提供市场报告， 内容包括与本协议代理商品的进口与销售有关的地方规章的变动、当地市场发展趋势以及买方对甲方按协议供应的货物的品质、包装、价格等方面的意见。乙方还承担向甲方提供其他供应商类似商品的报价和广告资料。

In order to keep Party A well informed of the prevailing market conditions, Party B should undertake to supply Party A, at least once a quarter or at any time when necessary, with market reports concerning changes of the local regulations in connection with the import and sales of the commodity covered by this agreement, local market tendency and the buyer's comments on quality, packing, price, etc. of the goods supplied by Party A under this agreement. Party B shall also supply party A with quotations and advertising materials on similar products of other suppliers. 9. 广告及费用 Advertising and Expenses 乙方负担本协议有效期内在中国销售代理商品做广告宣传的一切费用，并向甲方提交所用于广告的声像资料，供甲方事先核准。 Party A shall bear all expenses for advertising and publicity in connection with the commodity in question in China within the validity of this agreement, and shall submit to Party A all audio and video materials intended for advertising for prior approval. 10. 佣金 Commission 对乙方直接获取并经甲方确认接受的订单，甲方按净发票售价向乙方支付___%的佣金。

佣金在甲方收到每笔订单的全部货。
