第十一条 甲、乙任何一方如确因不可抗力的原因，不能履行本合同时，应及时向对方通知不能履行或须延期履行，部分履行合同的理由。在取得有关机构证明后，本合同可以不履行或延期履行或部分履行，并全部或者部分免予承担违约责任。

Buyer is legally obliged to withhold, as a withholding agent, the amount of taxes pro rata each taxable payment under Contract and pay them to the relevant Chinese tax authorities. After receiving the original tax receipts issued by the relevant Chinese tax authorities for the aforesaid withholding taxes, Buyer shall forward them to Seller without undue delay. Such withholding tax (if any) has been included in the Contract Price stipulated in Clause 3.1.卖方依据预扣税代理单位有义务对本合同应得的收入按比例代扣一定的税费并代向中国税务机关缴税在收到相关税务机构开立的税务原单后，买方应把它转寄给卖方，不要过分的延迟。扣留的税应被包含在合同3.1规定的价格里面。
